1. Introduction
Welcome to opinionatedschools.com (the "Website," "Service"), operated by Opinionated Schools, Inc. ("Opinionated Schools," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our Website, including any content, functionality, and services offered on or through opinionatedschools.com, including our mobile applications (collectively, the "Services").
Please read these Terms carefully before you start to use the Services. By accessing or using the Services, you accept and agree to be bound and abide by these Terms and our Privacy Policy, found at opinionatedschools.com/privacy and incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services.
2. Eligibility
The Services are offered and available to users who are 13 years of age or older. If you are under the age of 13, you are not permitted to use the Services or provide us with any personal information. By using the Services, you represent and warrant that you are of legal age to form a binding contract with Opinionated Schools, Inc. and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.
If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms and to bind the entity to these Terms, and that you agree to these Terms on the entity's behalf.
3. User Accounts
- Account Creation: To access certain features of the Services, you may be required to create an account. When you create an account, you agree to provide accurate, current, and complete information as prompted by the registration forms.
- Account Responsibility: You are responsible for maintaining the confidentiality of your account login information (e.g., username and password) and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use, or suspected unauthorized use of your account or any other breach of security. Opinionated Schools cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
- Account Security: You are responsible for safeguarding your password and for any activities or actions under your password, whether your password is with our Service or a third-party service.
4. Use of Services
- Permitted Use: You agree to use the Services only for lawful purposes and in accordance with these Terms. You are granted a non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms.
- Prohibited Conduct: You agree not to use the Services:
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in Section 6 of these Terms.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate Opinionated Schools, an Opinionated Schools employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Opinionated Schools or users of the Services or expose them to liability.
- To use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Services.
- To use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
- To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
- To reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services.
- Otherwise attempt to interfere with the proper working of the Services.
5. User-Generated Content (UGC)
- Your Responsibility: You are solely responsible for all content, including text, images, videos, opinions, links, and other materials, that you upload, post, publish, display, link to, or otherwise make available (hereinafter, "post") on or through the Services ("User-Generated Content" or "UGC"). You represent and warrant that you own or have the necessary rights and permissions to use and authorize us to use all intellectual property rights in and to your UGC, and to enable inclusion and use of the UGC in the manner contemplated by the Services and these Terms.
- License to Opinionated Schools: By posting any UGC on the Services, you grant Opinionated Schools a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your UGC in connection with the Services and Opinionated Schools' (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.
- Content Standards: Your UGC must not:
- Be defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
- Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
- Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy.
- Be likely to deceive any person.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act.
- Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
- Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
- Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising, without our prior written consent.
- Monitoring and Removal: We have the right, but not the obligation, to monitor, review, screen, or edit UGC. We reserve the right to remove or refuse to post any UGC for any or no reason in our sole discretion. However, we do not undertake to review all material before it is posted on the Services, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party.
6. Intellectual Property Rights
- Our Intellectual Property: The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Opinionated Schools, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally permitted through the Services' functionality.
- Trademarks: The Opinionated Schools name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Opinionated Schools, Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of Opinionated Schools. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
- Your UGC: You retain all of your ownership rights in your User-Generated Content.
7. Copyright Infringement (DMCA Policy)
We respect the intellectual property rights of others. It is our policy to respond to any claim that content posted on the Service infringes on the copyright or other intellectual property rights ("Infringement") of any person or entity.
If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to contact@opinionatedschools.com, with the subject line: "Copyright Infringement" and include in your claim a detailed description of the alleged Infringement as detailed below, under "DMCA Notice and Procedure for Copyright Infringement Claims."
You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims on the infringement of any content found on and/or through the Service on your copyright.

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

8. Social Media Integrations
The Services may allow you to connect your account with third-party social media platforms (e.g., Facebook, Instagram, Google, YouTube, TikTok). If you choose to connect your account, you are responsible for complying with the terms and conditions of those platforms. We are not responsible for the practices or content of such third-party platforms. Your interactions with these platforms are governed by their respective privacy policies and terms of service.
9. Third-Party Links and Services
The Services may contain links to third-party websites or services that are not owned or controlled by Opinionated Schools. Opinionated Schools has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Opinionated Schools shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. OPINIONATED SCHOOLS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
NEITHER OPINIONATED SCHOOLS NOR ANY PERSON ASSOCIATED WITH OPINIONATED SCHOOLS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER OPINIONATED SCHOOLS NOR ANYONE ASSOCIATED WITH OPINIONATED SCHOOLS REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
OPINIONATED SCHOOLS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OPINIONATED SCHOOLS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You agree to defend, indemnify, and hold harmless Opinionated Schools, Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User-Generated Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Services.
14. Termination
- Termination by You: You may terminate your account and these Terms at any time by ceasing to use the Services and requesting account deletion, if applicable.
- Termination by Opinionated Schools: We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. This includes the right to terminate or suspend your account if you are found to be in breach of these Terms.
- Effect of Termination: Upon termination, all licenses and rights granted to you in these Terms will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15. Governing Law and Dispute Resolution
- Governing Law: All matters relating to the Services and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States, without giving effect to any choice or conflict of law provision or rule.
- Dispute Resolution:
- Informal Negotiation: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
- Binding Arbitration: If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website [www.adr.org](https://www.adr.org/). Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Kent County, Delaware.
- Exceptions to Informal Negotiations and Arbitration: The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
- Waiver of Class Actions: YOU AND OPINIONATED SCHOOLS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
- Waiver of Jury Trial: YOU AND OPINIONATED SCHOOLS HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Opinionated Schools are instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement, except as specified above.
16. Changes to Terms
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Services. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

18. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Opinionated Schools, Inc. regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
- Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
- Waiver: No waiver by Opinionated Schools of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Opinionated Schools to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section is null and void. We may assign our rights or delegate our obligations under these Terms without restriction.
- Headings: The section headings used herein are for convenience only and shall not be given any legal import.
